
AEG Power Solutions has acquired a strategic majority stake in skytron energy, a Berlin-based provider of metering, monitoring and supervision solutions and technical leader in its field. A Noerr team headed by the Berlin corporate lawyer Dr. Christoph Spiering advised the purchasers on the transaction, including the conversion of the legal form of the target company which is now operating under the name of skytron energy GmbH. The sole shareholder of AEG Power Solutions is the special purpose vehicle ("SPAC") Germany 1 Acquisition Limited, which is quoted on the Netherlands exchange Euronext. In the summer of 2008, Noerr advised on the structuring of the shares of a sponsor and the management team in Germany 1 (see press release of 25 July 2008). The majority stake in skytron is being sold by the company’s founder, Berlin entrepreneur Martin Sauter who will remain invested with a minority stake. The amount of the transaction, which was paid in cash, is not being disclosed.
AEG Power Solutions supplies electricity supply systems for industrial customers worldwide. The company, which has its registered headquarters in Zwanenburg in the Netherlands, employs around 1,600 staff in 16 countries. Skytron was formed in 1996 as a new start-up of the Berlin Technical University (aviation and space technology) and, amongst other things, has modern IT-supported technical concepts for the control of photovoltaic outdoor facilities, quality control measurements for solar cell manufacture and for display and control systems. In addition, it operates as a service-provider for renowned companies from the solar and photovoltaic sector.
