Does your M&A transaction require a notification under the EU Foreign Subsidies Regulation (“FSR”), which entered into force on 12 January 2023? This Regulation allows the European Commission to review third‑country subsidies in light of their effects on the EU internal market, including in the context of M&A transactions. Companies are required to notify the European Commission if certain thresholds are exceeded, and in many cases whether this obligation exists can be clarified by answering only a few questions.
