Noerr acts in billion-dollar merger in the IT sector

A team from the law firm Noerr, led by the Frankfurt partners Dr Thorsten Reinhard and Tillmann Hecht, acted in the recently announced billion-dollar merger in the IT sector. The mainframe specialist Micro Focus International intends to take over the American software manufacturer Attachmate Group with plans for a merger of the companies.

Under the international lead of Travers Smith, the Noerr team acted for Micro Focus, listed in the London FTSE 250 index, and performed the legal due diligence for the German companies, thereby removing crucial obstacles and clearing the way for the merger.

Whereas Micro Focus specializes in mainframe modernization and COBOL application development, Attachmate, with principal office in Houston, Texas, particularly focuses on system management, IT security and legacy software. The merger will create a leading global infrastructure company with combined revenue of US$ 1.4 billion and a workforce exceeding more than 4,500 employees.
