Noerr advises Circular Resources on acquisition of Duales System Deutschland – Der Grüne Punkt
With a team led by Thomas Schulz and Moritz Nikolaus Koch, Noerr has extensively advised Circular Resources, a plastic waste recycling company, on its acquisition of Duales System Deutschland Group (DSD) including the affiliated companies Der Grüne Punkt – Duales System Deutschland GmbH and Systec Plastics GmbH. The seller is an affiliate of H.I.G. Capital.
Circular Resources acquired the entire DSD group of companies to create the industry’s first integrated mechanical and chemical recycling solution for plastic packaging waste. The agreement is expected to unlock further synergies between the mechanical and chemical recycling of plastic waste in Europe, enabling plastics currently lost from the value chain to be returned to the recycling loop.
The management of the DSD Group will take a stake in the new company. In addition, Ralf Huep (formerly with Advent International) and Karl-Georg Altenburg (formerly with JP Morgan) will serve as non-executive chairman and director, respectively, of the holding company of the DSD Group.
Circular Resources was founded by entrepreneur Carlos Monreal to create a one-stop shop for plastic waste recycling. Carlos Monreal is also the founder and CEO of the leading chemical recycling company Plastic Energy. The merger with DSD – Der Grüne Punkt will create a large-scale provider of recycling solutions in Europe with an assured, stable and high-quality inflow of raw materials for recycling.
Der Grüne Punkt (The Green Dot) was established in 1990 as the world’s first dual system to make Germany’s nationwide collection of used sales packaging transparent and cost-efficient for the benefit of consumers. Over time, DSD has developed its own recycling activities and has become an integral part of the recycling value chain as a whole.
