Noerr advises Emeram Capital on investment in ]init[ AG

Noerr has provided Emeram Private Equity Fund I with wide-ranging legal and tax advice on acquiring a stake in digital communications company “]init[ Aktiengesellschaft für digitale Kommunikation”. The parties have agreed not to disclose the selling price.

 

]init[ is one of the leading full-service digital agencies for the public sector, industry and banks with more than 500 employees at locations inside and outside Germany. Its customers include Deutsche Börse AG, DB Schenker, the European Central Bank (ECB), NATO, and the German Federal Press, and Information Office, amongst others. Dirk Stocksmeier, Chief Executive Officer and founder of ]init[, will continue to hold a significant stake in the company.

 

Besides assisting in the private equity transaction with a team under the lead of Christoph Thiermann and Georg Schneider, a Noerr team led by Tom Beckerhoff advised Emeram on the acquisition financing and a team led by Carsten Heinz advised on all the tax aspects of the transaction, including tax due diligence.

 

For this deal Noerr was able to draw on the entire strengths of its cross-practice transactional advice. Apart from the Private Equity, Banking & Finance and Tax groups, the Digital Business and Regulatory teams also made a crucial contribution to the project’s success.
