Noerr advises EMERAM on acquisition of Tenié and Gores Group

A Noerr team led by its Munich partner Christoph Thiermann has provided EMERAM Private Equity Fund I (“EMERAM”) with comprehensive legal and tax advice on its acquisition of Tenié and Gores Group (“TuG”).

EMERAM has acquired the enterprise as part of a succession plan. When implemented, the new management will participate by means of a management buy-in. The current managing partners will ensure a smooth transition.

TuG is one of the leading independent submetering service providers, and the steadily growing company covers all metering services, from the installation of metering devices to intelligent consumption data analysis and heating and operating costs billing.

Noerr advised on the transaction with an interdisciplinary team under the overall leadership of Christoph Thiermann. In addition to the private equity transaction, the team also advised Emeram on its acquisition financing under the leadership of Nikolai Warneke and Michael Schuhmacher and on all tax aspects of the transaction, including tax due diligence, under the leadership of Carsten Heinz.
