Noerr advises ISS on facility services partnership with Vattenfall

The law firm Noerr advised ISS Facility Services GmbH (today: ISS Facility Services Holding GmbH) successfully on a major new order of the company in Germany. The subsidiary of the listed Danish ISS A/S was awarded the contract for the facility services of Vattenfall GmbH and at the same time from 1 January 2015 takes over Vattenfall’s facility services company VSG GmbH and its subsidiaries.

The Noerr team under the leadership of Dr Olav Wagner and Dr Christoph Spiering advised ISS comprehensively, in particular on procurement law aspects of the transaction. ISS succeeded in a European procurement procedure in a number of steps against a number of competitors. The tender procedure was necessary since Vattenfall as a sector major is subject to the procurement regime. Noerr procurement experts also conducted the negotiations on the details of the service agreement.

The agreement covers many facility services, space management, cleaning and security services, support services, catering, fleet management and maintenance. Approximately 500 Vattenfall employees change to ISS. The Vattenfall subsidiary VSG GmbH also passes by the transaction to ISS Facility Services.

The partnership is established for five years and contains the option for a two-year extension. With the award of this contract, ISS and Vattenfall deepen their partnership. ISS already in the present year was awarded a comprehensive new contract from Vattenfall in Sweden.

With the transaction, the cooperation between Noerr and the worldwide leading facility services ISS in Germany continues. The law firm advised the group – which has a worldwide turnover of approximately 10.5 billion euros – already this year in the strategic sale of its personnel division and household services to the logistics service provider Teamwork – Büttgen GmbH.
