Noerr advises Keolis Deutschland on restructuring

With an interdisciplinary team led by the partners Martin Kleinschmidt and Thomas Hoffmann, Noerr and Noerr Consulting AG have provided rail transport company Keolis Deutschland GmbH & Co. KG with legal and management consulting advice on the company’s restructuring.

Keolis Deutschland, French parent company Keolis S.A. and the public transport authorities Nahverkehr Westfalen-Lippe (NWL), Verkehrsverbund Rhein Ruhr (VRR), Landesnahverkehrs-gesellschaft Niedersachsen (LNVG) and Provincie Overijssel have agreed on a revision of the existing transport contracts.

On 1 January 2022, the well-known brand name eurobahn will become the company name, which means that Keolis Deutschland GmbH & Co. KG will then be called eurobahn GmbH & Co. KG. Following the exit of Keolis S.A. on 31 December 2021, eurobahn will have a new shareholder structure.

With effect from 1 January 2022, Noerr’s subsidiary TEAM Treuhand GmbH will become the new shareholder of eurobahn via a subsidiary, SG eurobahn UG (haftungsbeschränkt). TEAM Treuhand GmbH regularly takes over shareholder positions in companies undergoing transition phases.

The goal is to work with the management and business partners of eurobahn to position the company for the future, to ensure stability and capacity, while at the same time establishing economic viability in order to set the course for a new, strategic investor in the future.
