Noerr advises management of Losberger De Boer on successful out-of-court reorganisation

Noerr has advised the management of Losberger de Boer on the group’s successful out-of-court reorganisation. For a year now, the German-Dutch group Losberger De Boer has been engaged in an intensive and complex financial and operative reorganisation process.

 

The comprehensive reorganisation agreement now signed forms the key basis for the entire group’s successful out-of-court reorganisation. As part of this transaction, the majority of shares in Losberger de Boer have been transferred to a reorganisation shareholder, which is to hold the shares until a successful exit.

 

The reorganisation of Losberger De Boer, with its key operating entities in Germany, the Netherlands and France, is one of the biggest and most comprehensive reorganisation processes under German law involving an international group in the last year.

 

A team from Noerr’s Frankfurt office consisting of Thomas Hoffmann, Nikolai Warneke and Andrea Braun advised the company’s management during the out-of-court reorganisation negotiations as well as on preparing an alternative court-regulated scenario and also acted as lead counsel for the other law firms involved, AKD N.V. (Amsterdam) and De Gaulle, Fleurance & Associes (Paris).
