Noerr advises New Mountain Capital on acquisition of ACETO Corporation schemicals business

Noerr has advised U.S. financial investor New Mountain Capital as local counsel for Germany on its acquisition of the chemicals business of insolvent ACETO Corporation. The law firm advised the client in this transaction, which was led by Ropes & Gray, on the relevant aspects of German law regarding the asset purchase agreement and due diligence with a focus on company law, as well as employment, regulatory, commercial and IT.

 

ACETO specialises in the marketing, sale and distribution of pharmaceutical ingredients and other chemical compounds. The buyer, New Mountain Capital, is a growth-oriented investment company with over $20 billion in assets under management.
