Noerr advises on the sale of Adaptive Vision to Zebra Technologies
Noerr has advised the shareholders of Adaptive Vision Sp. z o.o., a leading provider of machine vision software for manufacturing and other industries, on the sale of 100% shares to a UK-based subsidiary of Zebra Technologies – an American corporation building enterprise-level data capture and automatic identification solutions. The Polish office of Noerr led by Warsaw-based partner Ludomir Biedecki has provided assistance to the sellers.
Adaptive Vision was started in 2006 as a product team responsible for the operations in the machine vision market and initially delivering projects under individual contracts. As of 2008 the team started offering also standard software products and libraries, to finally in 2019 turned into an independent company, Adaptive Vision Sp. z o.o., being a leading provider of graphical machine vision software, libraries and other products for machine vision developers.
Zebra Technologies provides businesses with operational visibility, with its tracking and visibility solutions being used in a broad range of sectors including: healthcare, retail, hospitality, transportation and logistics, manufacturing.
Noerr provided full transactional advice including support during due diligence process, drafting and negotiating all transaction's documents as well as advice in relation to specific aspects regarding labour & employment, data protection, intellectual property and banking & finance.
