Noerr advises trivago on IPO

Noerr has provided comprehensive advice to trivago GmbH on its IPO on NASDAQ in New York. The advice covered corporate restructuring and German capital market law issues. U.S. capital market law matters were taken care of by Latham & Watkins.

Due to the cross-border aspects of the IPO, the corporate and tax structuring of the transaction was particularly demanding. Specifically for the IPO, a Dutch NV company was set up with various stock classes the shares of which were issued in the U.S. in the form of ADS. The cross-border structure of the transaction also resulted in complex issues of German capital market and employment law on which Noerr provided in-depth advice. Since the majority shareholder of trivago GmbH, the listed company Expedia, Inc., continues to be an investor in trivago NV, the interests and objectives of this company had to be taken into account and negotiated with several law firms when structuring this transaction. Wachtell Lipton Rosen & Katz acted as Expedia’s lead counsel. With respect to the numerous Dutch law issues, Noerr worked closely together with Nauta Dutilh.
