Noerr Group advises Gegenbauer on the combination of its Facility Management Services

The Noerr Group has advised the facility management services group Gegenbauer on its innovative reorganisation. With its project called “ZusammenWachsen” (integration) Gegenbauer intends to merge the divisional operating entities Gegenbauer Facility Management GmbH and RGM Facility Management GmbH including their subsidiaries into one company, aiming to increase efficiency and strengthen the facility management division. Other measures have also been implemented to simplify and streamline the corporate structure.

RGM has been part of Gegenbauer since 2016. The takeover back in 2016 created one of the strongest German providers in the facility services sector with a workforce of over 18,000 and turnover in 2018 of around €732m. The companies directly involved in the present mergers are Gegenbauer Facility Management GmbH, RGM Facility Management GmbH and RGM Shared Services GmbH as transferring entities and RGM Facility Management GmbH (previously named RGM Holding GmbH) as receiving entity. The legal implementation of the restructuring is designed to now also facilitate the operational integration of RGM and Gegenbauer.

Noerr provided comprehensive legal and tax advice on the mergers of the facility management divisions into RGM Holding GmbH and on their renaming and the relocation of their registered offices to Berlin. Based on its multidisciplinary approach, the Noerr Group acted with two teams: one team led by Tibor Fedke and Katrin Andrä provided comprehensive legal and tax advice to Gegenbauer on the restructuring, while a second Noerr Consulting AG team provided operational support for the merger of the two corporate units. The second team was led by Martin Kleinschmitt, CEO of Noerr Consulting AG, Noerr Group’s consultancy wing which specialises in providing financial and business management advice.
