Noerr successfully advises the IPO of Compleo Charging Solutions AG on the Frankfurt Stock Exchange

Noerr advised the underwriters COMMERZBANK and ODDO BHF on the successful IPO of Compleo Charging Solutions AG ("Company"), a leading German specialist provider of charging solutions for electric vehicles, on the Frankfurt Stock Exchange. The Company's shares will be listed on the regulated market (Prime Standard) of the Frankfurt Stock Exchange from October 21, 2020.

A total of 1,656,000 shares of the Company were successfully placed with international institutional and private investors in Germany at a price of EUR 49.00 per share, which corresponds to an initial market capitalization of EUR 168 million. The placement comprised 900,000 new shares from a capital increase and 756,000 shares from the holdings of existing shareholders, including 216,000 shares in connection with an over-allotment option ("Greenshoe Option"). Assuming full exercise of the Greenshoe Option, the total offering volume amounts to approximately EUR 81 million. Gross proceeds attributable to the Company amount to approximately EUR 44 million.

In connection with the IPO, COMMERZBANK acted as Sole Global Coordinator and together with ODDO BHF as Joint Bookrunner.

Most recently, the team had also advised TAG Immobilien on the successful placement of a convertible bond for EUR 470 million and a repurchase offer for existing convertible bonds.
