The decision to outsource is one of great importance for both small and medium-sized enterprises and large companies alike. Approached correctly, outsourcing can bring many benefits: the pooling of skills, higher performance with lower costs, or rapid response to change to name but a few positive impacts.

However, many hurdles have to be overcome in order to benefit as widely as possible from the opportunities that outsourcing offers. Planning the project has to be forward-looking and comprehensively coordinated at all levels, for this is the only way to ensure the smooth transfer of services to the outsourced service provider. Naturally, the drafting of the contract is of key importance in such a project, as it is the foundation of not only the cooperation but of the the termination of that cooperation at a later stage.

The contract is also where provisions need to be agreed governing elements such as the uninterrupted return of the services to the company that outsourced them or the adaptation to changed circumstances. An outsourcing agreement is a long-term project, where the two parties have to work closely together and are dependent on each other to ensure that everything runs seamlessly.
