With a team led by Tibor Fedke and Martin Haisch, Noerr has advised AMPYR Solar Europe (“ASE”) on a strategic co-operation agreement to develop, build and commission a pipeline of large-scale Solar PV projects in Germany for Commerz Real’s KlimaVest.

As part of the agreement, AMPYR Solar Europe, will be responsible for developing the projects to Ready-To-Build status, provide EPC Management services for the construction and commissioning of the plants, and put in place Operations & Maintenance (“O&M”) services for their operations, under KlimaVest’s ownership. The initial portfolio of three solar parks located in Germany will have a combined capacity of ca. 200 MWp.

AMPYR Solar Europe is the joint venture of a consortium including Naga Solar Holding BV, AGP Group and Hartree Partners who jointly develop and sale solar projects in the Netherlands, the UK and Germany with a planned volume of 4 gigawatts.

The Noerr team comprehensively advised Ampyr Solar Europe on all aspects of the strategic partnership with Commerz Real including the tax structuring, power trading, EPC Management and O&M contracts and on preparing the subsequent sale of the projects.

Noerr’s Berlin-based partner Tibor Fedke regularly advises on transactions in the energy industry and in the regulated M&A sector. This year, Tibor Fedke together with Armin Bartsch and Martin Haisch advised ALH on its takeover of a stake in Veja Mate, one of the major offshore wind farms in the North Sea.
