Noerr advises British-American self-pierce riveting specialist Henrob on takeover by Atlas Copco

Supported by the law firm Noerr, the British-American Henrob Group has agreed to the takeover by the Swedish Atlas Copco Group. Henrob relied for antitrust law and German aspects of the transaction – in particular also for the takeover of the Henrob GmbH – on a team led by the Berlin corporate partner Dr. Tibor Fedke.

By the planned acquisition, Atlas Copco enters a growing market segment in modern self-pierce riveting technology.  Henrob is the world leader in this technology, a mechanical  fastening process with particular significance for building low weight vehicles. In the most recent financial year, the private company with approx. 400 employees had turnover of 162 million US dollars. In Germany, the Henrob Group is a crucial contract partner especially for the motor industry.

Three Atlas Copco companies, Atlas Copco UK Holding Ltd, Atlas Copco North America LLC and Atlas Copco Asia Pacific Pty Ltd. agreed to take over Henrob. In 2013, Atlas Copco with 40,000 employees achieved revenue of approx. 9.7 billion EUR. Atlas Copco is listed on the Stockholm exchange.

The transaction still requires the approval of the relevant cartel authorities and is intended to be completed in the third quarter 2014.
