Lucia Luptáková is an experienced lawyer who specialises in corporate law and mergers and acquisitions. Lucia advises clients in connection with share and asset transactions, mergers and acquisitions and other forms of corporate combinations, whether domestic or cross-border. Her key practice areas also include the financing, reorganising and restructuring of businesses. Apart from this, she also focuses on banking and finance and providing day-to-day business advice.
Projects
- Advising an international US-based packaging group, implementation of Czech part of European restructuring and advisory on public incentives
- Advising on sale of a retail complex, including spin-off of real estate, share deal, legal due diligence and negotiation of transaction documentation
- Complex implementation of multiple group restructurings including analysis of alternative steps to achieve the final envisaged corporate structure, implementation of domestic and cross-border transformations, transfers of shares and businesses as going concerns, establishment of SPVs, subsidiaries and branch offices
- Advising on leasing financing projects for real estate acquisition purposes
- Advising an Italian investor on Czech aspects of acquisition of hotels in multiple jurisdictions
- Advising on the termination of joint venture and negotiating the realignment of the relationships between the parties, including lease of property, cooperation agreements, etc.
- Advising an Austrian financial institution on refinancing a photovoltaic plant project
