Eckhart Schleifenbaum

Eckhart Schleifenbaum specialises in venture capital and private equity transactions as well as national and international M&A transactions. Eckhart has provided corporate law advice on numerous private equity and mergers and acquisitions transactions, led accompanying due dili-gence processes and advised in many venture capital transactions and financing rounds. He has also advised in numerous VC transactions and VC financing rounds, acting for target companies or for investors. Eckhart has advised comprehensively international and national clients on the establishment of Joint Ventures and all related matters. Eckhart also provides German and foreign companies, credit institutions and borrowers with comprehensive advice in the areas of debt financing, project financing and acquisition financing and all related legal aspects. He has many years of experience in the area of structured finance, including the financing of intangible assets, and has provided extensive legal advice in the area of film financing and film production.

  • Advising Schwarz-Gruppe on the sale of PreZero, the environmental section (2020)
  • SAPIO Srl: Advising on the acquisition of Medic Air Group (2019)
  • Ingenico Group S.A.: Advising on the establishment of a joint venture for payment services with DSV Group (Deutscher Sparkassenverlag) in the DACH region (2018)
  • etventure: Advising on the sale of etventure Group to Ernst & Young Wirtschaftsprüfungsgesellschaft in a highly complex regulatory environment, involving an intricate carve-out of 36 group companies and more than 50 intra-group loans (2017)
  • Heliatek: Advising on a funding round, one of the largest investments in the greentech sector made by international investors (2016)
  • Rocket Internet: Advising on the acquisition of a minority stake in Delivery Hero for €400 million (2015)
  • Africa Internet Group: Advising on numerous financing rounds with investors such as MTN, Orange and Rocket Internet (2015)
  • Rocket Internet GmbH: Advising on a strategic partnership with the listed Asian telecommunications provider Ooredoo Q.S.C. (2014)
  • Airbus Group: Advising on the sale of its majority shareholding in Cassidian Test & Services, its subsidiary specialising in the development and manufacturing of tests for aeronautical equipment (2014)
  • Marlin Equity Partners: Advising on the global founding of the Coriant group of companies and accompanying implementation measures (2013)
  • ISS A/S: Advising the facility services group on the sale of its German subsidiary, Vatro GmbH & Co. KG, to the Swedish company, Polygon AB (2011)
  • Arla Foods amba GmbH: Advising on the takeover of the southern German company, Allgäuland-Käsereien GmbH (2011)
  • Veronis Suhler Stevenson International Ltd. and GMT Communications Partners LLP: Advising on the sale of their shareholdings in STAR Capital Partners (2010)
  • VEM: Restructuring of the Merckle Ratiopharm Group debt and organisation of the crisis cash pooling of over 150 subsidiaries (2009)
  • Buderus Foundry Management s.a.r.l: Advising on the sale of their share in the Buderus-Guss Group to Perusa Partners (2008)
  • Allianz Capital Partner GmbH: Advising on the sale of their majority shareholding in Bartec to Capcis Equity Partners (2008)
  • Advising LVM Versicherung at the sale of the leasing business, held by its subsidiary Augsburger Ak-tienbank, to PEAC Finance
