Noerr advises Gegenbauer on the takeover of RGM Holding

Noerr has advised the Gegenbauer Group on the acquisition of a majority stake in RGM Holding from Georgsmarienhütte Holding GmbH. The takeover, which spanned five European jurisdictions, was coordinated and supported by a Noerr team led by partners Dr Tibor Fedke and Professor Christian Pleister.

The Gegenbauer Group and Georgsmarienhütte agreed on the acquisition of 90% of the shares in RGM retroactively as of 1 January 2016. The activities of the RGM Group will be continued in future under the umbrella of the Gegenbauer Group, which is among Germany’s leading providers of facility management services, with a workforce of 15,000 and turnover in excess of €460 million in 2015. RGN achieved a turnover of some €175 million in 2015 and has around 2,000 employees in its three business divisions, Industrial Services, Facility Management and Property Management. The takeover will bolster Gegenbauer’s market position in the fast-growing technical facility services segment.

The Noerr team provided comprehensive advice to Gegenbauer on the takeover and was also active in all markets affected by the takeover with coordination and advisory tasks. Closing is expected at the end of the year. The Federal Cartel Office still has to approve the transaction.
