Noerr advises Improbable on acquisition of gaming tech startup zeuz

A team from Noerr has, alongside English law firm Macfarlanes, provided legal and tax advice to Improbable on its acquisition of all shares in zeuz GmbH. Noerr partners Carsten Heinz and Felix Blobel led the team.

 

Improbable, a global games technology company headquartered in the UK, provides products and services to multiplayer game developers, and makes innovative multiplayer games using its own technology. It has so far attracted more than $600m in investment. Zeuz GmbH, founded in 2018, provides managed hosting and server orchestration as a service for developers of multiplayer games. Holtzbrinck Ventures is among the investors in zeuz.

 

Noerr’s advice covered in particular the tax structure, corporate and employment law support for the transaction and transferring the client’s existing employee participation scheme to the new structure.
