Noerr advises ActivumSG on investment in Centralis Group

A Noerr team led by Carsten Heinz has advised ActivumSG on its entry as a shareholder in the Centralis Group.

Centralis is an owner-managed investment and development company based in Germany, specialising in modern hospitality properties in prime urban locations. ActivumSG joins the German parent company as majority shareholder. The previous shareholders remain largely invested with a significant minority stake. ActivumSG’s investment will provide capital for growth with ambitions to scale the business into a €500 million GAV+ platform in the medium term.

In addition to the tax due diligence and the specific contract negotiations, the tax advice also included the organisation and structuring of the investment. Noerr has been advising ActivumSG for many years on tax law and also repeatedly on corporate and property law issues.
