Noerr advises comdirect on sale of ebase

Noerr has advised comdirect bank AG on the sale of its subsidiary European Bank for Financial Services GmbH (ebase). The buyer is FNZ, an international financial technology provider.

The FNZ Group provides established financial institutions with platform solutions for the entire investment business value chain (“Platform as a Service”). ebase is a B2B direct bank which offers a full range of services for financial products providers, insurance companies, banks, asset managers and other businesses.

Noerr provided comdirect with extensive advice in connection with the transaction and assisted it in both the M&A bidder process and the contractual negotiations. Volker Land, Co-Head of the firm’s Hamburg office and a specialist in banking M&A, was in charge of the matter. A Noerr team led by Volker Land just recently advised US investor J.C. Flowers on the acquisition of HSH Nordbank.
