Noerr advises H+H Group on strategic acquisition

A Noerr team  led by Munich-based partner Holger H. Ebersberger has once again provided the Nasdaq Copenhagen listed H+H Group with legal and tax advice on a transaction. As part of its growth strategy in the German market, the H+H Group has entered into an agreement to acquire 52.5% of DOMAPOR GmbH & Co. KG.

DOMAPOR is a manufacturer of aerated concrete (aircrete) and calcium silicate blocks headquartered in Mecklenburg-Western Pomerania. The acquisition is strategically important for H+H as it strengthens H+H’s footprint in northern Germany and safeguards the availability of production capacity.

Closing is planned to take place by the end of the year. The acquisition is in line with H+H’s strategy of expanding its activities on the German market for wall-building materials and further consolidating and restructuring the industry.

The transaction follows on from the recent acquisition of an aircrete factory in Feuchtwangen, Bavaria, from the Greisel Group, the acquisition of a majority stake in Porenbetonwerks Lausnitz GmbH & Co. KG (an aircrete manufacturer) and Baustoffwerke Dresden GmbH & Co. KG (a building materials company) in 2019 as well as the acquisition of HeidelbergCement’s German and Swiss calcium silicate unit business in 2018. All transactions were advised by teams headed by Holger Ebersberger.
