Noerr advises Optima Group on takeover offer for InTiCa Systems AG

Noerr is advising PRINTad Verlags - GmbH, a company in the Optima Group owned by publisher Dr Axel Diekmann, on a voluntary public takeover offer to the shareholders of InTiCa Systems AG. Under the engagement the Noerr team headed by partner Michael Brellochs has provided the company with wide-ranging support in preparing and implementing the offer, which was published on 11 September 2020.

PRINTad Verlags - GmbH currently holds a 29.99% share in InTiCa Systems AG and is offering to pay the other shareholders €6.00 per share. InTiCa Systems AG is a leading technology supplier in the development, manufacturing and marketing of inductive components, passive analogue switching technology and mechatronic assemblies. The company, which has around 700 employees, operates in the automobile technology and industrial electronics segments. It is headquartered in Passau, Germany, and has production facilities in the Czech Republic and Mexico.
