Noerr advises the building materials group Cemex on exchange of shareholdings with the Holcim Group

The law firm Noerr advised Cemex, one of the leading building materials suppliers worldwide, on an international shareholding exchange with its competitor Holcim. The various transactions have now been signed in Frankfurt, since the cartel authorities have consented.

The agreed transactions affect the German, Czech and Spanish markets. In the Czech Republic, Cemex will take over the Holcim business completely and in Spain two plants, forming major parts of the Spanish business of the Swiss building materials group, will be taken over. The Cemex Group will spin-off its west German business and sell it to Holcim. In addition, Cemex pays Holcim a purchase price of 45 million. It is planned to complete the transaction at the beginning of 2015.

For Noerr, a team led by the Berlin corporate partners Dr. Christoph Spiering and Dr. Tibor Fedke coordinated and directed the various transactions from Germany. In the Czech Republic, a Noerr team led by partner Barbara Kusak also acted. The Prague team advised Cemex comprehensively on the purchase of the Czech Holcim business and also conducted the Due Diligence. Both teams specialise in advising on international joint venture structures and have many years’ experience in dealing with transactions in energy intensive industries.  

Noerr has previously advised Cemex on various cartel law issues. A year ago, when a joint venture agreement between Cemex and Holcim in Spain was planned as part of the transaction, the group relied on our Berlin and Prague teams.
