Noerr advises STRABAG on its acquisition of WTE Wassertechnik GmbH from EVN

25.06.2025

A team from Noerr led by Jens Liese and Gerrit Henze has advised STRABAG on its acquisition of WTE Wassertechnik GmbH from EVN.

The purchase price for the shares in WTE Wassertechnik GmbH is €100 million. STRABAG is also taking over existing shareholder loans.

The acquisition, which is in line with the objectives of Strategy 2030, expands STRABAG SE’s, the publicly listed European technology group for construction services, existing water technology business into the area of integrated water management. The combined portfolio in this business area is expected to generate an annual output of approximately € 400 million.

During the transaction, the Noerr team advised STRABAG on the share transfer agreement, collaborating with local counsel from thirteen jurisdictions. Closing of the transaction is subject to the customary approvals, especially clearance from the merger control authorities.

Noerr acted as STRABAG’s lead counsel, providing wide-ranging advice and coordinating law firms in various countries where WTE Wassertechnik GmbH operates.
