Noerr advises ING-DiBa AG on the issuance of Pfandbriefe with a volume of EUR 1.0 billion
A Noerr team led by Julian Schulze De la Cruz has advised ING-DiBa AG on the update of its Euro Medium Term Notes (EMTN) programme ("Programme") with a total volume of up to EUR 20 billion and the issue of unsecured, fixed-rate Pfandbriefe with a volume of EUR 1.0 billion.
The Programme serves the long-term financing of ING-DiBa AG on the capital market. It offers the opportunity to place bonds and Pfandbriefe in different currencies and with different maturities on the debt capital market in a standardised form. The base prospectus for the Programme was approved by the Luxembourg supervisory authority (Commission de Surveillance du Secteur Financier, CSSF) on 13 May 2026. ING-DiBa AG has applied to the Luxembourg Stock Exchange for admission of the securities issued under the Programme to listing on the official list of the Luxembourg Stock Exchange and to trading on the regulated market of the Luxembourg Stock Exchange and for admission to trading on the regulated market of the Frankfurt Stock Exchange.
The transaction was managed by Bayerische Landesbank, Crédit Agricole CIB, HSBC, ING, Helaba, Nordea, and UniCredit as joint bookrunners.
The Noerr team had already advised ING-DiBa AG in February 2026 on the issuance of mortgage bonds under the updated program in the amount of EUR 750 million.
