Noerr advises HelloFresh on takeover of U.S. competitor

Noerr has advised HelloFresh on a strategic takeover in the USA. The world's leading meal kit company, HelloFresh is acquiring via its U.S. subsidiaries all the shares in the U.S. competitor Green Chef Corporation.

Green Chef specialises in delivering certified organic meal kits. HelloFresh anticipates that from the second quarter 2018 onwards the new acquisition will contribute US$ 15 million to the group’s sales on a quarterly basis. Closing of the transaction is subject to certain conditions precedent, but is expected to take place soon.

HelloFresh regularly relies on legal advice from Noerr. Acting as corporate counsel, the law firm recently advised the client with a team led by Christian Pleister on its successful IPO. Noerr has also advised HelloFresh over the past few years on all financing rounds and major restructuring measures, as well as the general meetings of the AG (stock corporation) and later the SE.
