Noerr advises Mutares subsidiary Donges SteelTec on strategic acquisition from Tata Steel
Noerr has advised the investment company Mutares and its subsidiary Donges SteelTec in a strategic acquisition. The client, one of the leading steel construction suppliers in Germany, is taking over Tata Steel’s roof and facade system division operating as the Kalzip Group, aiming to establish a global supplier of integrated steel and aluminium solutions.
Donges, headquartered in Darmstadt, Germany, has so far been operating in the steel bridge and structural steel construction business in the DACH (Germany, Austria and Switzerland) region, whereas Kalzip is a supplier of aluminium steel envelopes. Kalzip, which is headquartered in Koblenz, Germany, and has major sites in England, Dubai and India, achieved sales of more than €60m last year. The newly founded Donges Group combines these complementary product portfolios and offers potential for further growth, with total revenues currently exceeding €100m.
In this transaction Mutares and Donges SteelTec relied on Noerr and the Munich partners Christoph Thiermann and Ralph Schilha. Noerr regularly advises Donges’ group parent, Mutares. For instance, Ralph Schilha and Julian Schulze De la Cruz advise the company, which has been listed in the Scale 30 index of Deutsche Börse since 2016, regularly on stock corporation and capital markets law issues, such as this year on the IPO of its subsidiary STS Group AG.
