Noerr advises Schaltbau on a capital increase with subscription rights

Noerr has advised Schaltbau Holding AG on a capital increase with subscription rights. The lead advisors were the capital markets experts Julian Schulze De la Cruz and Holger Alfes.

The company’s share capital was increased by issuing a total of 2.24 million new shares. The gross issue proceeds of approximately €49m are to be used to repay loan liabilities and to further improve the company’s equity and liquidity situation. The capital increase was overseen by Commerzbank Aktiengesellschaft as the sole global coordinator.

Noerr recently advised Schaltbau Holding AG and it subsidiary PINTSCH BAMAG Antriebs- und Verkehrstechnik GmbH on an M&A transaction during the sale of the industrial brakes business to the Swedish company Dellner Group. Noerr partners Sebastian Voigt and Jens Gehlich assisted with the sale as lead advisors.
