Noerr advises terminal operator Liwathon on acquisition of Shell’s stake in PCK refinery

A Noerr team lead by Tibor Fedke and Katrin Andrä has advised the oil terminal operator Liwathon on a strategic acquisition in Germany. Through its Austrian subsidiary Alcmene GmbH, Liwathon is acquiring Shell’s stake in PCK Raffinerie GmbH in Brandenburg as well as the inventory stored there. The transaction is still subject to the partners’ and the usual regulatory approvals.

PCK Raffinerie GmbH operates one of Europe’s largest and most successful petroleum processing plants in Schwedt/Oder (north-eastern Germany). It secures more than 90 per cent of the fuel supply for Berlin and the state of Brandenburg. The stakes in the joint venture have so far been held by Shell Deutschland GmbH (37.5%), AET Raffineriebeteiligungs-Gesellschaft mbH with its partners Rosneft Refining & Marketing GmbH and Eni Deutschland GmbH (25%) and Rosneft Deutschland GmbH (37.5%). The joint venture acts as a contract processor for its partners. The new partner, Liwathon, is the largest operator of oil product terminals in the Baltic Sea.

This year, Tibor Fedke, together with Armin Bartsch and Martin Haisch, advised ALH on the acquisition of a stake in Veja Mate, one of the large offshore wind farms in the North Sea. Katrin Andrä and Tibor Fedke jointly advised Howden on the acquisition of Balcke-Dürr Rothemühle, whose (air and gas) filtration technology is used in power plants.
