Noerr advises Fosun International on a capital increase and the strategic takeover of Tom Tailor Holding SE
Noerr is advising Fosun International, China’s largest privately owned conglomerate, on a capital increase of Hamburg-based Tom Tailor Holding SE and a voluntary public takeover bid to Tom Tailor’s shareholders. Laurenz Wieneke and Julian Schulze De la Cruz, capital market experts from Noerr’s Frankfurt office, are responsible for the deal.
As part of the capital increase, which excluded the shareholders’ subscription rights, 10% of Tom Tailor’s current share capital was subscribed by Hong Kong-based Fosun International Ltd. on 19 February 2019. At the same time, Fosun International announced its decision to make a voluntary public takeover bid to Tom Tailor’s shareholders.
A Noerr team led by Fabian Badtke had already assisted Fosun in the merger control clearance procedure before the EU Commission and the Federal Cartel Office. The EU Commission and the Federal Cartel Office have already approved Fosun International’s acquisition of de facto control over Tom Tailor.
The planned public takeover of Tom Tailor is the second strategic transaction in which Noerr has acted for Fosun International in the German market. A Noerr team led by Till Kosche and Andrea Zwarg had already advised the group and its joint venture Nanjing Nangang in 2017 in connection with the acquisition of automotive supplier Koller.
