Noerr advises Constellation Cold Logistics on entering the German market

A Noerr team under the remit of Thomas Schulz, Carmen Böhn and John Jun has advised the British-based Constellation Cold Logistics Group (Constellation) on its strategic acquisition of transport and logistics company Spedition Wohlert und Wohlert Kühl Logistik, providing in-depth advice on Constellation’s entry into the German market. Constellation, a portfolio company of EQT Infrastructure, is one of the leading providers of cold storage and temperature-controlled logistics services in nine European countries.

The Wohlert Group is a full-service partner for the food industry which has two main cold stores in Northern German and satellite locations. The acquisition will strengthen Constellation’s leading position across Europe.

Apart from the German business, the transaction also comprises the Wohlert Group’s transport business in Poland and is subject to the standard regulatory approvals. The transaction is scheduled to close in the first quarter of 2026.

Noerr advised extensively on all German legal aspects of the transaction and assisted in the Polish legal aspects as lead counsel alongside Schönherr.
